New TN Filing System FAQ
The Tennessee Secretary of State is implementing a new online filing system starting at 8 AM on Tuesday, February 18, 2025.
The TN SOS will shut down their current system over the span of two days
- At the end of business on Tuesday, February 11, 2025 the State’s online filing system will be shut down
- At 12 PM on Wednesday, February 12, 2025 the State’s counter system will be shut down
- Then, the State will completely shut down for Thursday, February 13 and Friday, February 14, 2025 to start the transition between their current system (TN Bear) and the new system (TNCaB)
- The new system will be up and running at 8 AM Central Time on Tuesday, February 18, 2025
There will be new online options for filing documents, a few of those new filings are:
- Amendments
- Mergers
- Conversions
- Limited Partnership filings (with some exceptions as noted in the next FAQ)
** these apply to domestic and foreign filings **
Apostilles and Summons and some filings related to Limited Partnerships that are still on record under the 1988 Act
Yes, all certification documents will be available to order online.
In this case, you’ll order the certificate and upload the clearance
The online filing will go through an approval process by one of the Supervisors.
When the filing has been approved, the State will send an email to the email address
that was listed during the online filing process.
At that time, you’ll be able to go into your account and download the evidence.
All completed work done on this new system will be on your portal indefinitely; the only exception will be for Good Standing certificates.
Since those documents are only valid for 60 days, after that time they will drop off your portal.
The short answer is that we hope you won’t experience any disruption in our service and that our relationship will remain unchanged.
- We may experience a slowdown in processing time in the beginning stages of using the new system; we’ll do everything we can to minimize the impact for you.
- We’ll continue to use counter service but will also use the online filing system for any orders that indicate “rush” or “expedited”
- If evidence is needed on a same day basis, we will add an expedite fee to our service fee;
- We will pass on any fees charged by the State to use this online system, so that will be an additional State fee on top of the routine filing/retrieval fee.
We’ll be working as closely as possible with the State to be sure that we take full advantage of all that this new system offers so we’ll be able to provide you with the best experience possible for your orders.
